1. Agreement to Terms

Welcome to Nebula Protocol. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Nebula Protocol ("Company," "we," "us," or "our") governing your access to and use of our cloud earning platform, mobile applications, websites, and all related services (collectively, the "Services").

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our platform and updating the "Last Updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms.

2. Eligibility Requirements

To use our Services, you must meet the following eligibility requirements:

• Age Requirement: You must be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is higher. Users under 18 are strictly prohibited from using our Services.
• Legal Capacity: You must have the legal capacity to enter into a binding contract under applicable law.
• Jurisdictional Compliance: You must not be located in, or a citizen or resident of, any jurisdiction where cryptocurrency activities, cloud earning, or our Services are prohibited, restricted, or require licensing that we do not possess.
• Non-Sanctioned Status: You must not be subject to economic sanctions or listed on any prohibited party list by the United States, European Union, or any other relevant jurisdiction.
• Single Account: You may only create and maintain one (1) account on our platform. Creating multiple accounts to circumvent limits or abuse our Services is strictly prohibited.

By using our Services, you represent and warrant that you meet all eligibility requirements. We reserve the right to verify your eligibility at any time and to suspend or terminate your account if you fail to meet these requirements.

3. Account Registration and Security

To access certain features of our Services, you must register for an account. When creating an account, you agree to:

• Accurate Information: Provide accurate, current, and complete information during registration and keep your account information updated.
• Confidentiality: Maintain the confidentiality of your account credentials, including your password and recovery phrase.
• Account Responsibility: You are solely responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use.
• Recovery Phrase Security: Your 12-word recovery phrase is the sole means of accessing your wallet. We do not store this phrase and cannot recover it if lost. Loss of your recovery phrase may result in permanent loss of access to your tokens.
• No Account Sharing: Your account is personal to you and may not be shared with, sold to, or transferred to any other person.

4. Cloud Earning Service

Our platform provides a cloud earning service that allows users to earn NEB tokens through participation in our network. By using this service, you understand and agree that:

• Session-Based Earning: Earning occurs during active mining sessions that you manually initiate. Earnings are calculated based on session duration and applicable bonuses.
• Earning Rate Variability: Base earning rates are subject to change through halving events triggered by network growth milestones. We do not guarantee any specific earning rate.
• Foundation Fee: A 5% foundation fee is deducted from mining rewards to support platform development and operations.
• Trust Network Bonuses: Additional earning bonuses may be available through building a verified Trust Network. Bonus rates and requirements are subject to change.
• KYC Requirements: Certain features and bonuses may require completion of identity verification (KYC) procedures.

5. NEB Token Disclaimer

IMPORTANT: Please read this section carefully as it contains important information about the nature of NEB tokens.

• No Guaranteed Value: NEB tokens have no guaranteed monetary value. Any value attributed to NEB tokens is purely speculative and depends on market conditions that are beyond our control.
• Not a Security: NEB tokens are utility tokens intended for use within the Nebula Protocol ecosystem. They are not securities, investment contracts, or financial instruments.
• No Investment Advice: Nothing in our Services constitutes investment, financial, legal, or tax advice. You should consult with appropriate professionals before making any decisions.
• Price Volatility: Cryptocurrency markets are highly volatile. The value of NEB tokens may fluctuate significantly, and you may lose all or part of any value associated with your tokens.
• No Guarantee of Listing: We do not guarantee that NEB tokens will be listed on any cryptocurrency exchange or that trading markets will exist.
• Regulatory Uncertainty: The regulatory status of cryptocurrencies varies by jurisdiction and may change. Future regulations could adversely affect the availability and value of NEB tokens.

6. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Creating multiple accounts or using automation tools to earn tokens
• Using bots, scripts, or other automated means to interact with our Services
• Attempting to manipulate mining rates, bonuses, or any platform mechanics
• Providing false or misleading information during registration or KYC
• Impersonating another person or entity
• Engaging in fraud, money laundering, or any illegal activity
• Interfering with or disrupting the integrity of our Services
• Attempting to gain unauthorized access to our systems or other users' accounts
• Harassing, threatening, or abusing other users in chat features
• Posting offensive, harmful, or inappropriate content
• Circumventing any security measures or access restrictions
• Using our Services in any manner that violates applicable laws or regulations

Violation of any prohibited activities may result in immediate suspension or termination of your account, forfeiture of earned tokens, and potential legal action.

6A. Child Safety Standards

In addition to the general prohibited activities above, users must not:

• Share, upload, request, or distribute child sexual abuse material (CSAM) in any form
• Engage in grooming or solicitation of minors for any purpose
• Create, share, or distribute any content that sexualizes minors, including fictional or AI-generated content
• Use Nebula Protocol to facilitate any form of child exploitation or trafficking
• Engage in sextortion or coercion involving minors

Violations of these child safety standards will result in immediate and permanent account termination and referral to relevant law enforcement agencies, including reports to the National Center for Missing & Exploited Children (NCMEC) CyberTipline.

7. Staking Terms

Our platform offers staking services that allow users to lock NEB tokens for additional rewards. By using staking features, you agree that:

• Staked tokens are locked for the selected duration and cannot be withdrawn early
• APY rates are subject to change and are calculated on an annualized basis
• Staking rewards are paid from a dedicated reserve and are not guaranteed indefinitely
• You assume all risks associated with staking, including potential loss of value during the lock period
• Early unstaking, where available, may result in forfeiture of earned rewards

8. Intellectual Property Rights

All intellectual property rights in and to the Services, including but not limited to the platform, applications, website, content, designs, trademarks, logos, and software, are owned by Nebula Protocol or its licensors.

You are granted a limited, non-exclusive, non-transferable license to use our Services solely for personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Services will be accurate or reliable
• Any errors in the Services will be corrected
• The Services will meet your specific requirements or expectations
• NEB tokens will have or maintain any particular value

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEBULA PROTOCOL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or tokens
• Loss of goodwill or reputation
• Cost of procurement of substitute services
• Any damages arising from unauthorized access to your account

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Nebula Protocol and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to:

• Violation of these Terms or any applicable laws
• Fraudulent, abusive, or illegal activity
• Creating risk or legal exposure for us
• Extended periods of inactivity
• Request by law enforcement or government agencies

Upon termination, your right to use the Services will immediately cease. You may request deletion of your account and personal data in accordance with our Privacy Policy.

13. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved through the following process:

1. Informal Resolution: You agree to first contact us at nebulaprotocolcloud@gmail.com and attempt to resolve the dispute informally for at least 30 days.
2. Binding Arbitration: If informal resolution fails, the dispute shall be resolved by binding arbitration in accordance with applicable arbitration rules.
3. Class Action Waiver: You agree to resolve disputes on an individual basis only and waive any right to participate in class actions.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Nebula Protocol is established, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in that jurisdiction for any legal proceedings.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
